1. Acceptance of Terms

By accessing or using the Clawback platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including sellers, visitors, and others who access the Service.

2. Description of Service

AMZDudes LLC (Clawback) provides an automated tool for Amazon FBA sellers to identify inventory discrepancies, manage reimbursement claims, and track payments from Amazon. The Service connects to your Amazon Selling Partner account via the SP-API to retrieve inventory and transaction data.

3. Eligibility

You must be at least 18 years old and have a valid Amazon Seller account to use this Service. By registering, you represent that you have the authority to authorize the SP-API connection on behalf of your Amazon seller account.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We are not liable for any loss resulting from unauthorized access caused by your failure to protect your credentials.

5. Amazon SP-API Authorization

By connecting your Amazon seller account, you authorize AMZDudes LLC (Clawback) to access your inventory, orders, financial, and report data via the Amazon Selling Partner API solely for the purpose of identifying and filing reimbursement claims on your behalf. We access only the data necessary to provide the Service and do not share your Amazon data with third parties.

6. Fees and Payment

Certain features of the Service require payment. Fees are described on our pricing page. For performance-based plans, our fee is calculated as a percentage of reimbursements actually collected into your Amazon account. We reserve the right to change our pricing with 30 days' notice.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of Amazon's policies
  • Submit false, fraudulent, or inflated reimbursement claims
  • Attempt to reverse-engineer, copy, or scrape the Service
  • Interfere with the security or integrity of the Service
  • Share your account credentials with unauthorized third parties

8. No Guarantee of Reimbursement

While we work to identify and file all eligible claims, we do not guarantee that Amazon will approve any specific claim or reimburse any specific amount. Amazon's reimbursement decisions are final and outside our control. Our Service is limited to identifying discrepancies and facilitating the claims process.

9. Intellectual Property

All content, features, and functionality of the Service — including software, algorithms, text, and design — are owned by AMZDudes LLC (Clawback) and protected by applicable intellectual property laws. You may not reproduce or distribute any part of the Service without our written permission.

10. Limitation of Liability

To the maximum extent permitted by law, AMZDudes LLC (Clawback) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of profits, data, or goodwill. Our total liability to you for any claims arising from the Service shall not exceed the fees you paid us in the three months preceding the claim.

11. Termination

You may cancel your account at any time from your account settings. We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain aggregated, anonymized data as permitted by our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice in the app. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the applicable jurisdiction, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
